Nscale lands $3.36B convertible financing before planned US listing

British AI cloud provider Nscale has raised $3.36 billion in convertible notes ahead of a U.S. IPO. Third Point led the round, and Nvidia is contributing $1 billion later in the year. The company plans to use the capital for large AI data center projects and has filed for a NYSE listing.
Nscale, a UK-based AI cloud provider, has arranged $3.36 billion in convertible notes. Third Point led the financing, with $2.36 billion available now. Existing backer Nvidia is set to provide another $1 billion in mid-November. The notes become equity after the company completes its planned U.S. listing.
The company filed for a NYSE IPO last week. Reports cited by the article put its expected valuation at $35 billion and its fundraising target at $3 billion. Since emerging from Arkon Energy two years ago, Nscale has reported more than $103 billion in contracts and is building campuses in Norway and West Virginia.
The scale of this financing may accelerate construction of AI data centers, affecting local communities in Norway and West Virginia through land, energy, and infrastructure demands. It could also shape competition among cloud providers and influence investors exposed to AI infrastructure. Workers, residents, and smaller firms may feel effects through energy prices, job creation, and access to AI services, though outcomes remain uncertain and depend on execution, regulation, and whether the promised capacity translates into broad benefits.
